User Agreement for Research Contributors
1. Introduction
Welcome to Scholarcolab (the “Platform”). This User Agreement (“Agreement”) governs the relationship between Scholarcolab and you (“Research Contributor,” “you,” or “your”) concerning your use of our Platform to upload, sell, and distribute research simulations. By signing up for and using our services, you agree to the terms set forth in this Agreement.
2. Definitions
- Platform: Refers to the online marketplace operated by Scholarcolab where Research Contributors can upload their research simulations for sale.
- Research Contributor: Any individual or entity that registers on the Platform to upload and sell research simulations.
- Buyer: Any individual or entity that purchases research simulations from the Platform.
- Research Simulation: Refers to any software, scripts, or simulation programs uploaded by the Research Contributor to the Platform.
3. Registration
To become a Research Contributor on the Platform, you must complete the registration process, provide accurate information, and agree to this Agreement. You are responsible for maintaining the confidentiality of your account credentials.
4. Uploading and Selling Research Simulations
4.1 Ownership and License
By uploading research simulations to the Platform, you affirm that you own all rights to the research simulations or have obtained all necessary permissions to upload, sell, and license them. You grant Scholarcolab a worldwide, non-exclusive license to distribute, promote, and sell the research simulations on the Platform.
4.2 Setting Prices
Research Contributors are solely responsible for setting the price of their research simulations. The price must be clearly stated at the time of upload and can be adjusted by the Research Contributor at any time. However, Scholarscolab will always be the regulatory authority and can suggest/change the price based on market analysis.
5. Fees and Payment Terms
5.1 Fees
Scholarcolab will charge a fee for each sale of research simulations on its platform. The fee percentage will be determined based on the complexity of the research simulation and mutual agreement between the Research Contributor and Scholarcolab. The fee will be deducted from the sale proceeds before disbursement to the Research Contributor.
5.2 Payment Disbursement
Payments to Research Contributors will be made [weekly/monthly] via [payment method, e.g., bank transfer, PayPal]. The amount disbursed will be the net sale proceeds after deducting Scholarcolab’s fee.
6. Research Simulation Quality and Compliance
Research Contributors are responsible for ensuring that their research simulations are of high quality, free from defects, and comply with all applicable laws and regulations. Research Contributors are also bound to provide 7 days of technical assistance to the buyer who purchases the research simulation. Scholarcolab reserves the right to remove any research simulation that it deems, in its sole discretion, to be in violation of these terms or of insufficient quality. The uploaded research code on the scholarscolab should not be uploaded elsewhere and should not be copied from some other platform. If conflicting, necessary actions will be taken.
7. Intellectual Property Rights
Research Contributors retain all intellectual property rights to their research simulations. Research Contributors agree not to upload research simulations that infringe on the intellectual property rights of others.
8. Limitation of Liability
Scholarcolab provides the Platform “as is” and makes no representations or warranties of any kind, express or implied, regarding the operation of the Platform or the information, content, or materials included on the Platform. Scholarcolab will not be liable for any damages of any kind arising from the use of the Platform, including but not limited to direct, indirect, incidental, punitive, and consequential damages.
9. Termination
Scholarcolab reserves the right to suspend or terminate your account and access to the Platform at any time, without notice, for conduct that violates this Agreement, for prolonged inactivity, or for any other reason that Scholarcolab, in its sole discretion, deems appropriate.
